Terms of Service

These Terms of Service (these "Terms") explain the terms and conditions by which you may access and use our website, www.mainstreet.finance (the "Website"), operated by or on behalf of Main St Finance Ltd (inclusive with its affiliates, the "Company", "we" or "us"), our App (as defined below), and any other Services provided by the Company, including any related content, tools, documentation, features and functionality (collectively the "Services").

These Terms govern your access to and use of the Services. Please read these Terms carefully, as they include important information about your legal rights. By accessing and/or using the Services, you are agreeing to these Terms. If you do not understand or agree to these Terms, please do not use the Services.

For purposes of these Terms, "you" and "your" means you as the user of the Services. If you use the Services on behalf of a company or other entity then "you" includes you and that entity, and you represent and warrant that: (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.

1. The Services

1.1 Services

The Services provide an interface (the "App") that displays data for the purpose of enabling users to interface, via a third-party wallet application (e.g., Metamask), with certain components of a set of open-sourced smart contracts deployed on decentralized blockchains, namely the options box spread and other delta-neutral yield generation mechanisms inherent to the Main Street Protocol.

These mechanisms include a staking system that allows users to stake msUSD to receive msY and earn yield.

The set of smart contracts maintained and operated by the Company and its affiliates, together with off-chain infrastructure (including but not limited to custody systems, exchange integrations, execution engines, collateral management systems, margin systems, settlement workflows, and capital allocation systems), are referred to herein as the "Protocol".

The Protocol’s yield generation relies on the systematic execution of options box spread strategies across centralized cryptocurrency derivatives exchanges, including but not limited to Deribit and other exchanges. These strategies involve constructing offsetting long and short option positions across matched strikes and expiries to capture implied financing rates embedded within options markets.

In addition, the App displays data for the purpose of enabling users to interface, via a third-party wallet application, with certain components of open-sourced smart contract systems deployed on decentralized blockchains, such as certain liquidity pools on Ethereum and other decentralized exchanges (the "Third Party Protocols").

Documentation relevant to the Services, the App, and the Protocol are available at docs.mainstreet.finance (the "Documentation"). The Protocol itself is not part of the Services, and your use of the Protocol is entirely at your own risk.

1.2 Wallets

To use certain of the Services it may be necessary to connect a third-party digital wallet ("Wallet") to the App.

You acknowledge and agree that:

  • Wallets are not maintained or controlled by the Company

  • The Company does not have custody over your assets

  • The Company does not store or recover private keys

  • All transactions are executed independently by the user

1.3 Updates; Monitoring

We may make improvements, modifications or updates to the Services, including:

  • Protocol mechanics

  • Strategy execution

  • Token models (including msUSD and msY mechanics)

  • Infrastructure systems

Your continued use constitutes acceptance of such Updates.

1.4 Fees

Transactions may incur:

  • Blockchain gas fees

  • Exchange fees

  • Protocol fees

  • Third-party fees

All transactions are non-refundable.

2. Who May Use the Services

You must:

  • Be 18 years or older

  • Not be a prohibited or sanctioned individual

  • Comply with all applicable laws

3. Location of Our Privacy Policy

Our Privacy Policy describes how we handle user data. Please visit docs.mainstreet.finance.

4. Rights We Grant You

4.1 Right to Use Services

We grant you a limited, non-exclusive, non-transferable license to use the Services.

4.2 Restrictions On Your Use of the Services

You may not:

  • Reverse engineer or exploit the Services

  • Use automation or scraping tools

  • Disrupt or interfere with systems

  • Violate applicable laws

4.3 Interactions with Other Users

You are responsible for your interactions with other users.

5. Ownership and Content

5.1 Ownership of the Services

All intellectual property belongs to the Company.

5.2 Ownership of Trademarks

All trademarks and branding are owned by the Company.

5.3 Ownership of Feedback

All feedback becomes Company property.

6. Third Party Services and Materials

The Services may provide access to third-party protocols.

The Company is not responsible for:

  • Their operation

  • Their security

  • Any losses incurred

Partner protocols may provide access to:

  • msUSD minting

  • msY staking

You acknowledge:

  • They are independent

  • They carry separate risks

  • The Company is not liable

7. Disclaimers, Limitations of Liability and Indemnification

7.1 Disclaimers

The Services are provided on an "AS IS" basis.

The Company:

  • Does not provide investment advice

  • Does not guarantee returns

  • Does not execute trades on your behalf

All actions are user-initiated.

Yield + Staking Mechanics

The exchange rate between msUSD and msY reflects:

  • Yield from options box spread strategies

  • Execution across exchanges including Deribit

  • Market conditions

No yield is guaranteed.

7.2 Limitations of Liability

The Company is not liable for:

  • Loss of funds

  • Loss of profits

  • System failures

Maximum liability: $100.

7.3 Assumption of Risks

(a) General Risks

You acknowledge risks including:

  • Smart contract risk

  • Market volatility

  • Regulatory changes

  • Loss of funds

(g) Options Box Spread Strategy Risk

The Protocol executes options box spreads across exchanges such as Deribit and others.

Risks include:

  • Execution risk

  • Liquidity risk

  • Exchange risk

  • Counterparty risk

  • Margin risk

  • Settlement risk

  • Basis risk

  • Operational risk

  • Cross-exchange risk

Returns are not risk-free.

(h) Staking Risk (msUSD → msY)

Staking msUSD to receive msY includes risks such as:

  • Smart contract vulnerabilities

  • Redemption delays

  • Liquidity constraints

  • Yield variability

7.4 Indemnification

You agree to indemnify the Company for:

  • Violations of these Terms

  • Misuse of Services

  • Third-party claims

7.5 Third Party Beneficiaries

Company affiliates are beneficiaries of these Terms.

8. Arbitration and Class Action Waiver

Disputes will be resolved through arbitration.

No class actions permitted.

9. Additional Provisions

9.1 Updating These Terms

We may update these Terms at any time.

9.2 Suspension; Termination

We may suspend or terminate access for any reason.

9.3 Injunctive Relief

We may seek legal remedies for violations.

9.4 Force Majeure

We are not liable for events outside our control.

9.5 Miscellaneous

These Terms are governed by the laws of the British Virgin Islands.
